These Terms of Service (“Terms”) govern your access to and use of the Slate website at apply.slate.cxand the related lending services (collectively, the “Service”) provided by Slate Financial Technologies Inc.(“Slate,” “we,” or “us”) to qualifying small businesses in the United States and Canada. By creating an account, applying for financing, or otherwise using the Service, you agree to these Terms.
1. Eligibility and account
The Service is offered exclusively for business purposes. To use it, you must be at least the age of majority in your jurisdiction, an authorized representative of a U.S. or Canadian business, and able to enter into a binding contract on behalf of that business. We may refuse service or close accounts at our discretion, including where underwriting standards are not met.
You are responsible for the accuracy of the information you provide, for the security of your credentials, and for activity under your account. Notify us immediately at support@tryslatehq.com if you suspect unauthorized access.
2. Lending and underwriting
Submitting an application authorizes Slate to underwrite your business. Underwriting may include reviewing bank-account transaction data you connect or provide, identity verification, and a soft inquiry to one or more credit bureaus that does not affect your personal credit score. Approval, funded amount, factor rate, and term are determined at our discretion based on this review and are not guaranteed.
If approved, the binding terms of your financing — including the funded amount, factor rate, total payback, repayment cadence, and fees (if any) — are set out in a separate loan agreement that you execute electronically prior to disbursement. Those agreement terms control over any general information presented elsewhere on the Service.
3. Repayment authorization
By accepting a loan agreement, you authorize Slate (or its processors) to debit your designated business deposit account on a recurring basis as a percentage of daily deposits or as otherwise set out in the loan agreement. In Canada this authorization is a pre-authorized debit (PAD) under Payments Canada Rule H1; in the United States it is an ACH debit governed by Nacha rules. You may revoke the authorization in accordance with applicable law and the terms of your loan agreement, but doing so does not relieve you of your repayment obligations.
4. Acceptable use
You agree not to use the Service to: (a) submit false, misleading, or fraudulent information; (b) impersonate another person or business; (c) circumvent or attempt to disrupt any security, underwriting, or rate-limiting controls; (d) use the Service for consumer or personal credit purposes; or (e) violate any applicable law, regulation, or Slate policy.
5. Privacy
Our Privacy Policy explains how we collect, use, and disclose information about you and your business. By using the Service, you consent to those practices.
6. Intellectual property
The Service, including all content, branding, and software, is owned by Slate or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service solely for the purpose of applying for and managing financing for your business.
7. Disclaimers
The Service is provided on an “as is” and “as available” basis, without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that funding times will match any estimate. Pricing examples are illustrative and not offers.
8. Limitation of liability
To the maximum extent permitted by law, Slate and its affiliates will not be liable for any indirect, incidental, consequential, special, or exemplary damages arising out of or relating to the Service. Our aggregate liability for any direct damages will not exceed the fees paid by you to Slate in the twelve months preceding the event giving rise to liability. Nothing in these Terms limits liability that cannot be limited under applicable law.
9. Governing law and disputes
For Canadian businesses, these Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, and disputes shall be resolved in the courts located in Vancouver, British Columbia. For U.S. businesses, these Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles, and disputes shall be resolved by binding arbitration on an individual basis as further described in your loan agreement, except where prohibited by law.
10. Changes
We may update these Terms from time to time. Material changes will be communicated by email or by an in-product notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
